Terms & Conditions

Please read these terms carefully before using the Edwadzi platform. They govern your access to and use of our services.

1. Acceptance of Terms

By accessing or using the Edwadzi platform ("Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use the Platform.

These Terms apply to all users of the Platform, including clients seeking services, providers providing services, and visitors browsing the site.

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or in-app notification.

2. Definitions

"Platform" refers to the Edwadzi website, mobile applications, and all related services.

"Client" refers to any registered user who searches for, books, or pays for services through the Platform.

"Provider" refers to any registered service provider who lists, offers, or delivers services through the Platform.

"Services" refers to event planning, photography, catering, venue hire, music & DJ, decor & floral, cleaning, and any other service categories available on the Platform.

"Escrow" refers to the payment holding mechanism where funds are held by a third-party payment processor on behalf of the Platform until service completion is confirmed.

"Quote" refers to a provider's formal pricing proposal sent to a client in response to a service request.

"Booking" refers to a confirmed service engagement between a client and a provider.

3. Eligibility & Account Registration

You must be at least 18 years of age and capable of forming a binding contract to use the Platform.

When registering, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

Each person may hold only one client account and one provider account. Providers who also wish to book services may switch to client mode within the same account.

We reserve the right to suspend or terminate accounts that violate these Terms, provide fraudulent information, or engage in prohibited conduct.

4. Platform Role & Relationship

Edwadzi operates as a marketplace that connects clients with independent service providers. Edwadzi is not a party to the service agreement between clients and providers.

Providers are independent contractors, not employees, agents, or partners of Edwadzi. Edwadzi does not supervise, direct, or control provider work.

While Edwadzi verifies provider credentials and facilitates transactions, Edwadzi does not guarantee the quality, safety, legality, or timeliness of any service delivered by providers.

5. Client Terms

Clients may browse provider profiles, request quotes, book services, and communicate with providers through the Platform.

By confirming a booking, you agree to the service scope, timeline, and pricing as outlined in the accepted quote. Modifications must be agreed upon by both parties through the Platform.

Clients must provide accurate event details, access to venues where required, and timely communication to facilitate service delivery.

Clients agree not to circumvent the Platform by engaging providers found on Edwadzi for off-platform transactions.

6. Provider Terms

Providers must complete identity verification and provide valid business credentials (where applicable) before listing services.

Provider profiles, including descriptions, portfolio images, and pricing, must be accurate and not misleading. Edwadzi reserves the right to remove listings that violate this requirement.

Providers must honour accepted bookings and deliver services as described in the confirmed quote. Failure to do so may result in penalties, suspension, or removal from the Platform.

Providers are solely responsible for compliance with all applicable local, regional, and national laws, including business licensing, tax obligations, health and safety regulations, and insurance requirements.

Providers agree not to solicit clients for off-platform transactions or share external contact details for the purpose of bypassing Platform fees.

7. Payments, Escrow & Fees

All payments for services booked through the Platform must be processed through the Platform’s integrated payment system.

Client payments are held in escrow by our third-party payment processor until the client confirms satisfactory completion of the service, or the automatic release period expires (typically 48 hours after the scheduled service date).

Edwadzi charges a service fee on each completed transaction. Current fee schedules are displayed during the booking and checkout process. Edwadzi reserves the right to modify fees with 30 days’ prior notice to affected users.

Provider payouts are processed after escrow release, subject to the payment processor’s standard settlement timeline.

Refunds are handled in accordance with Section 9 (Cancellations & Refunds). Edwadzi does not guarantee refunds for disputes arising from service quality unless resolved through the dispute resolution process.

8. Bookings & Service Contracts

A booking is created when a client accepts a provider’s quote and completes payment. The booking constitutes a binding agreement between the client and provider.

Both parties can communicate, share files, and track milestones through the Platform’s messaging and project management tools.

For multi-provider events, a lead coordinator may be designated. Coordination responsibilities and payment milestones are outlined in the respective booking details.

Any modifications to the service scope, timeline, or pricing after booking confirmation must be documented and agreed upon by both parties through the Platform.

9. Cancellations & Refunds

Cancellation policies vary by provider and are displayed on the provider’s profile and in the booking confirmation. Clients should review cancellation terms before confirming a booking.

If a client cancels within the provider’s free cancellation window, a full refund (less any non-refundable Platform fees) will be issued.

If a client cancels outside the free cancellation window, the provider’s cancellation policy applies. Partial refunds may be available depending on the provider’s terms.

If a provider cancels a confirmed booking, the client receives a full refund. Repeated provider cancellations may result in account penalties or suspension.

Edwadzi reserves the right to issue refunds at its discretion in cases of fraud, safety concerns, or material misrepresentation.

10. Disputes & Resolution

If a client is dissatisfied with a delivered service, they may raise a dispute through the Platform within 7 days of the scheduled service date.

Edwadzi will review disputes on a case-by-case basis, considering evidence provided by both parties (messages, photos, contracts, milestone records).

Edwadzi’s dispute resolution decisions regarding escrow fund release are final and binding. This does not affect your statutory rights.

For disputes that cannot be resolved through the Platform, both parties may pursue remedies available under applicable law.

11. Reviews & Ratings

Clients may leave reviews and ratings for providers after a completed booking. Reviews must be honest, accurate, and based on genuine experiences.

Providers may respond to reviews publicly. Edwadzi does not edit or censor reviews, but reserves the right to remove reviews that contain hate speech, personal attacks, defamation, spam, or content unrelated to the service.

Manipulating reviews — including fake reviews, incentivised positive reviews, or retaliatory negative reviews — is strictly prohibited and may result in account suspension.

12. Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful purpose; (b) impersonate any person or entity; (c) post false, misleading, or fraudulent content; (d) interfere with or disrupt the Platform or its infrastructure; (e) harvest or scrape user data; (f) circumvent Platform fees by taking transactions off-platform; (g) harass, threaten, or discriminate against other users; (h) upload malicious code, viruses, or harmful materials.

Edwadzi reserves the right to investigate and take appropriate action against any user who violates these prohibitions, including account suspension, termination, and reporting to law enforcement.

13. Intellectual Property

The Edwadzi name, logo, design, and all Platform content (excluding user-generated content) are the intellectual property of Edwadzi and may not be used without prior written consent.

Providers retain ownership of their portfolio content (photos, descriptions, etc.) but grant Edwadzi a non-exclusive, royalty-free licence to display and promote this content on the Platform and in marketing materials.

Clients retain ownership of any content they upload (event photos, briefs, etc.) and grant Edwadzi a limited licence to process and display this content as necessary for Platform functionality.

14. Privacy & Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal data.

By using the Platform, you consent to the collection and processing of your data as described in the Privacy Policy.

Edwadzi implements industry-standard security measures to protect user data but cannot guarantee absolute security. You are responsible for safeguarding your account credentials.

15. Limitation of Liability

To the maximum extent permitted by law, Edwadzi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

The Platform is provided "as is" and "as available." Edwadzi makes no warranties, express or implied, regarding the reliability, accuracy, or availability of the Platform.

Edwadzi’s total cumulative liability for any claims arising from these Terms or your use of the Platform shall not exceed the total fees paid by you to Edwadzi in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.

16. Indemnification

You agree to indemnify, defend, and hold harmless Edwadzi, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any content you submit to the Platform.

17. Termination

You may close your account at any time by contacting support or using the account settings. Outstanding bookings and financial obligations must be settled before account closure.

Edwadzi may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that harms the Platform or its users.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including liability, indemnification, and dispute resolution) will remain in effect.

18. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana, unless otherwise required by applicable consumer protection law.
