Terms & Conditions

Please read these terms carefully before using the Edwadzi platform. They govern your access to and use of our services.

1. Acceptance of Terms

By accessing or using the Edwadzi platform ("Platform"), you agree to be bound by these Terms & Conditions ("Terms"). If you do not agree, you must not use the Platform.

These Terms apply to all users of the Platform, including clients seeking services, vendors providing services, and visitors browsing the site.

We may update these Terms from time to time. Continued use of the Platform after changes constitutes acceptance of the revised Terms. We will notify registered users of material changes via email or in-app notification.

2. Definitions

"Platform" refers to the Edwadzi website, mobile applications, and all related services.

"Client" refers to any registered user who searches for, books, or pays for services through the Platform.

"Vendor" refers to any registered service provider who lists, offers, or delivers services through the Platform.

"Services" refers to event planning, photography, catering, venue hire, music & DJ, decor & floral, cleaning, and any other service categories available on the Platform.

"Quote" refers to a vendor's formal pricing proposal sent to a client in response to a service request.

"Booking" refers to a confirmed service engagement between a client and a vendor.

3. Eligibility & Account Registration

You must be at least 18 years of age and capable of forming a binding contract to use the Platform.

When registering, you must provide accurate, current, and complete information. You are responsible for maintaining the confidentiality of your account credentials.

Each person may hold only one client account and one vendor account. Vendors who also wish to book services may switch to client mode within the same account.

We reserve the right to suspend or terminate accounts that violate these Terms, provide fraudulent information, or engage in prohibited conduct.

4. Platform Role & Relationship

Edwadzi operates as a marketplace that connects clients with independent vendors. Edwadzi is not a party to the service agreement between clients and vendors.

Vendors are independent contractors, not employees, agents, or partners of Edwadzi. Edwadzi does not supervise, direct, or control vendor work.

While Edwadzi verifies vendor credentials and facilitates transactions, Edwadzi does not guarantee the quality, safety, legality, or timeliness of any service delivered by vendors.

5. Client Terms

Clients may browse vendor profiles, request quotes, book services, and communicate with vendors through the Platform.

By confirming a booking, you agree to the service scope, timeline, and pricing as outlined in the accepted quote. Modifications must be agreed upon by both parties through the Platform.

Clients must provide accurate event details, access to venues where required, and timely communication to facilitate service delivery.

Clients agree not to circumvent the Platform by engaging vendors found on Edwadzi for off-platform transactions.

6. Vendor Terms

Vendors must complete identity verification and provide valid business credentials (where applicable) before listing services.

Vendor profiles, including descriptions, portfolio images, and pricing, must be accurate and not misleading. Edwadzi reserves the right to remove listings that violate this requirement.

Vendors must honour accepted bookings and deliver services as described in the confirmed quote. Failure to do so may result in penalties, suspension, or removal from the Platform.

Vendors are solely responsible for compliance with all applicable local, regional, and national laws, including business licensing, tax obligations, health and safety regulations, and insurance requirements.

Vendors agree not to solicit clients for off-platform transactions or share external contact details for the purpose of bypassing Platform fees.

7. Payments & Fees

Client payments for services and ticket purchases are processed by Paystack. At the moment of purchase, funds are split automatically between the vendor or organizer (via their Paystack subaccount) and the Platform (service fee). The Platform does not currently hold funds in escrow on behalf of clients.

Service fees and processing fees are disclosed at checkout. By completing a purchase you accept those fees.

Vendor and organizer payouts settle on Paystack's standard schedule. The Platform does not control settlement timing.

Edwadzi is developing an escrow-based payment flow for higher-value bookings. When that flow launches, the Terms governing it will be published as an update to this section and existing users will be notified.

8. Event Ticketing

Organizers may create events and sell tickets through the Platform. Organizers are solely responsible for delivering the events they list, including venue, scheduling, safety, age restrictions, and any required permits or licences.

Attendees who purchase tickets receive a digital ticket and (where the organizer has enabled it) an SMS confirmation. Tickets are revocable only as described in the Refund and Cancellation clause below.

If an event is cancelled by the organizer, ticket holders are entitled to a refund of the ticket price. Service fees and processing fees may or may not be refundable depending on the cancellation timing; this will be disclosed at the time the refund is initiated.

Ticket transfers are permitted unless the organizer has disabled transfers for a specific event. The Platform takes no responsibility for ticket transfers conducted off-platform.

Tickets may not be resold above the price at which they were purchased plus any applicable Platform-approved resale cap.

9. USSD Service

Edwadzi offers a USSD ticket purchase service accessible by dialling *928*24# in Ghana. The USSD service is operated in partnership with Arkesel, which acts as our USSD aggregator.

Standard USSD session charges from your mobile carrier apply. Mobile money payments are subject to your provider's authentication and charges.

Tickets purchased via USSD are delivered by SMS to the buyer's phone number. The buyer is responsible for keeping the confirmation SMS until the event.

Currently, the USSD ticket-sales feature is available to organizers on a Pro subscription. The Platform may change which tiers include USSD ticketing with reasonable notice.

10. Pro Tier Subscription

Organizers may subscribe to a Pro tier that unlocks additional features, including USSD ticket sales and any other features designated as Pro-tier in the Platform.

Pro subscriptions are billed on the cadence shown at the point of subscription. You may cancel at any time; cancellation takes effect at the end of the current billing period.

Pro-tier features available at the time you subscribed are honoured for the duration of any active Pro subscription, even if the Platform adjusts what is included in Pro for new subscribers.

If your Pro subscription lapses, Pro-only features (including USSD ticket sales on new events) become unavailable. Tickets already sold remain valid; in-flight events keep their existing functionality.

11. SMS Communications

Edwadzi sends SMS messages for booking confirmations, ticket delivery, event reminders, payment receipts, onboarding steps, and other operational notifications. SMS is delivered through our partner Arkesel from the sender ID 'Edwadzi'.

By providing your phone number you consent to receive operational SMS related to your account and your transactions on the Platform. You may opt out of non-critical SMS notifications in your account settings; certain critical messages (such as ticket delivery and payment receipts) may still be sent.

Standard SMS rates may apply depending on your mobile carrier.

12. Bookings & Service Contracts

A booking is created when a client accepts a vendor’s quote and completes payment. The booking constitutes a binding agreement between the client and vendor.

Both parties can communicate, share files, and track milestones through the Platform’s messaging and project management tools.

For multi-vendor events, a lead coordinator may be designated. Coordination responsibilities and payment milestones are outlined in the respective booking details.

Any modifications to the service scope, timeline, or pricing after booking confirmation must be documented and agreed upon by both parties through the Platform.

13. Cancellations & Refunds

Cancellation policies vary by vendor and are displayed on the vendor’s profile and in the booking confirmation. Clients should review cancellation terms before confirming a booking.

If a client cancels within the vendor’s free cancellation window, a full refund (less any non-refundable Platform fees) will be issued.

If a client cancels outside the free cancellation window, the vendor’s cancellation policy applies. Partial refunds may be available depending on the vendor’s terms.

If a vendor cancels a confirmed booking, the client receives a full refund. Repeated vendor cancellations may result in account penalties or suspension.

Edwadzi reserves the right to issue refunds at its discretion in cases of fraud, safety concerns, or material misrepresentation.

14. Disputes & Resolution

If a client is dissatisfied with a delivered service, they may raise a dispute through the Platform within 7 days of the scheduled service date.

Edwadzi will review disputes on a case-by-case basis, considering evidence provided by both parties (messages, photos, contracts, milestone records).

Edwadzi’s dispute resolution decisions, including any platform-side payment adjustments made under our refund and dispute processes, are final and binding. This does not affect your statutory rights.

For disputes that cannot be resolved through the Platform, both parties may pursue remedies available under applicable law.

15. Reviews & Ratings

Clients may leave reviews and ratings for vendors after a completed booking. Reviews must be honest, accurate, and based on genuine experiences.

Vendors may respond to reviews publicly. Edwadzi does not edit or censor reviews, but reserves the right to remove reviews that contain hate speech, personal attacks, defamation, spam, or content unrelated to the service.

Manipulating reviews — including fake reviews, incentivised positive reviews, or retaliatory negative reviews — is strictly prohibited and may result in account suspension.

16. Prohibited Conduct

You agree not to: (a) use the Platform for any unlawful purpose; (b) impersonate any person or entity; (c) post false, misleading, or fraudulent content; (d) interfere with or disrupt the Platform or its infrastructure; (e) harvest or scrape user data; (f) circumvent Platform fees by taking transactions off-platform; (g) harass, threaten, or discriminate against other users; (h) upload malicious code, viruses, or harmful materials.

Edwadzi reserves the right to investigate and take appropriate action against any user who violates these prohibitions, including account suspension, termination, and reporting to law enforcement.

17. Intellectual Property

The Edwadzi name, logo, design, and all Platform content (excluding user-generated content) are the intellectual property of Edwadzi and may not be used without prior written consent.

Vendors retain ownership of their portfolio content (photos, descriptions, etc.) but grant Edwadzi a non-exclusive, royalty-free licence to display and promote this content on the Platform and in marketing materials.

Clients retain ownership of any content they upload (event photos, briefs, etc.) and grant Edwadzi a limited licence to process and display this content as necessary for Platform functionality.

18. Privacy & Data Protection

Your use of the Platform is also governed by our Privacy Policy, which explains how we collect, use, store, and protect your personal data.

By using the Platform, you consent to the collection and processing of your data as described in the Privacy Policy.

Edwadzi implements industry-standard security measures to protect user data but cannot guarantee absolute security. You are responsible for safeguarding your account credentials.

19. Limitation of Liability

To the maximum extent permitted by law, Edwadzi shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform.

The Platform is provided "as is" and "as available." Edwadzi makes no warranties, express or implied, regarding the reliability, accuracy, or availability of the Platform.

Edwadzi’s total cumulative liability for any claims arising from these Terms or your use of the Platform shall not exceed the total fees paid by you to Edwadzi in the 12 months preceding the claim.

Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded by applicable law.

20. Indemnification

You agree to indemnify, defend, and hold harmless Edwadzi, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any third-party rights; (d) any content you submit to the Platform.

21. Termination

You may close your account at any time by contacting support or using the account settings. Outstanding bookings and financial obligations must be settled before account closure.

Edwadzi may suspend or terminate your account at any time for violation of these Terms, fraudulent activity, or conduct that harms the Platform or its users.

Upon termination, your right to use the Platform ceases immediately. Provisions that by their nature should survive termination (including liability, indemnification, and dispute resolution) will remain in effect.

22. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Republic of Ghana.

Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Ghana, unless otherwise required by applicable consumer protection law.
